AMZDOC LLC ("AMZDOC," "we," "us," or "our") is a limited liability company organized under the laws of the State of California, United States. Principal office: 1401 21st Street, Suite R, Sacramento, CA 95811.
By engaging our services, submitting a contact form, making a payment, or otherwise using the AMZDOC website (amzdoc.help), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, do not use our services. These Terms constitute a legally binding agreement between you and AMZDOC LLC.
AMZDOC LLC provides consultation, document preparation, and operational assistance to online marketplace sellers, including but not limited to:
AMZDOC LLC acts solely as a consulting and service provider. All final decisions regarding seller accounts, appeals, and applications are made solely by the respective marketplace platforms (Amazon.com, Inc., Walmart Inc., etc.). We have no control over platform decisions and do not represent or warrant that any particular outcome will be achieved.
AMZDOC LLC provides services as an independent contractor. Nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship between AMZDOC and the Client. When AMZDOC procures products or invoices as part of ungating services, such procurement is performed as part of AMZDOC's own service delivery process and does not constitute AMZDOC acting as the Client's agent or fiduciary.
AMZDOC LLC operates strictly within the rules, policies, and terms of service of all marketplace platforms we interact with. Our services are designed to help sellers comply with platform requirements. Specifically:

Failure to comply with these responsibilities may result in delays, cancellation of service without refund, or immediate termination of the engagement.
Refund eligibility depends on the type of service and the stage of completion:
AMZDOC LLC does not guarantee any specific outcome, including but not limited to account reinstatement, brand or category ungating approval, complaint removal, or verification approval. All final decisions are made solely by the respective marketplace platforms at their sole discretion.
The refund commitment described in Section 8 is a refund of the AMZDOC service fee — it is not a guarantee that Amazon or any other platform will approve the application. These are fundamentally different: AMZDOC guarantees its own professional service delivery; it does not and cannot guarantee third-party platform decisions.
Any descriptions of past results, success stories, or case studies on our website or marketing materials are provided for illustrative purposes only and do not constitute a guarantee, warranty, or prediction of future results. Individual results depend on factors including account history, case specifics, platform policies (which may change without notice), and other circumstances beyond our control.
All Plans of Action, appeal letters, and other documents prepared by AMZDOC LLC remain the intellectual property of AMZDOC LLC. By paying for services, the Client receives a limited, non-exclusive, non-transferable license to use the delivered documents solely for the specific case for which they were prepared. The Client may not resell, redistribute, publish, or repurpose these documents for any other use without AMZDOC's prior written consent.
To the maximum extent permitted by applicable law:
In no event shall the total aggregate liability of AMZDOC LLC for all claims arising out of or related to a specific engagement exceed the amount actually paid by the Client for that specific service.
The Client agrees to indemnify, defend, and hold harmless AMZDOC LLC, its members, managers, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to: (a) the Client's breach of these Terms; (b) the Client's misrepresentation of facts, identity, or business information; (c) the Client's violation of any applicable law, regulation, or third-party rights; or (d) the Client's use of documents or services provided by AMZDOC for purposes other than those for which they were intended.
Both parties agree to maintain the confidentiality of all non-public information exchanged during the engagement, including but not limited to business information, account details, case specifics, and proprietary methods. AMZDOC LLC will not disclose Client information to third parties without written consent, except: (a) as required by law, regulation, or legal process; (b) to trusted service providers bound by confidentiality obligations who assist in service delivery; or (c) in anonymized, aggregated form for business analytics purposes.
Either party may terminate the engagement at any time by providing written notice (email is sufficient). Upon termination:
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the services provided by AMZDOC LLC shall be resolved as follows:
Class Action Waiver: All disputes shall be resolved on an individual basis. Neither party shall bring or participate in any class action, collective action, or representative proceeding against the other party.
Small Claims Exception: Either party may bring an individual action in small claims court in Sacramento County, California, if the claim falls within the court's jurisdictional limits.
AMZDOC LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, platform outages or policy changes, internet disruptions, or other force majeure events.
By using our services, you consent to receiving communications from AMZDOC LLC electronically, including via email and messaging platforms (e.g., Telegram). You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the waiving party to be effective.
These Terms of Service, together with any written service agreement, invoice, or scope-of-work document for a specific engagement, and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter hereof. These Terms supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral. No modification or amendment to these Terms shall be effective unless in writing and agreed to by both parties.
