Terms of Service — Single Brand Ungating

Effective Date: 2026-10-01  ·  Version: 1.2  ·  Provider: AMZDOC LLC, California (entity #B20250278241)

AMZDOC LLC IS AN INDEPENDENT THIRD PARTY. IT IS NOT AFFILIATED WITH, ENDORSED BY, SPONSORED BY, CERTIFIED BY, OR IN ANY WAY OFFICIALLY CONNECTED TO AMAZON.COM, INC. OR ANY AMAZON ENTITY. AMAZON HAS NOT REVIEWED, APPROVED, OR AUTHORIZED THIS SERVICE. NO AMAZON OUTCOME OF ANY KIND IS GUARANTEED. AMZDOC DECIDES NOTHING; AMAZON DECIDES EVERYTHING.
READ CAREFULLY BEFORE PAYING. These Terms contain a binding individual arbitration clause and a class-action and jury-trial waiver (Sections 22–24). You may opt out within 90 days under Section 22.9. Nothing in these Terms waives any right that cannot be waived under applicable law, including the U.S. Fair Credit Billing Act, the California Consumers Legal Remedies Act, the Song-Beverly Consumer Warranty Act, the California Unfair Competition Law, or any equivalent statute of Client's home state or country.
Plain-language summary. This summary is for convenience only and does not replace the Terms. You pay $350 once. We attempt to get one brand approved (“ungated”) on one Amazon seller account you control. If Amazon does not approve it, you get your money back in full — with no deduction for the work we did. If nothing has happened within 120 days you can simply ask for your money back, without waiting for Amazon. If you never send us the information we need, you also get your money back in full after 30 days. We find the supplier and buy the goods ourselves — you are not asked for invoices and you do not pay for stock. We never ask for your Amazon password. Amazon alone decides the outcome, and we cannot promise one.

1. Parties and Definitions

1.1 These Terms of Service (the “Terms”) form a binding contract between AMZDOC LLC (“AMZDOC,” “Provider,” “we”), a California limited liability company with its principal office at 1401 21st Street, Suite R, Sacramento, California 95811, USA, and the natural person or entity that completes checkout and pays the Price (“Client,” “you”).

1.2 Defined terms.

  • “Service” — one (1) attempt by AMZDOC to obtain Amazon's approval for Client to list and sell products of one (1) Brand on one (1) Seller Account, including preparation and submission of the application and any follow-up correspondence AMZDOC considers appropriate.
  • “Brand” — the single brand named by Client at checkout.
  • “Seller Account” — the single Amazon Seller Central account identified by Client under Section 5 on which the Brand is to be opened.
  • “Amazon” — Amazon.com, Inc. and its subsidiaries and affiliates.
  • “Price” — USD $350.00, or such lower amount as results from a valid promotional code applied at checkout.
  • “Stripe” — Stripe, Inc.
  • “Portal” — the client area at amzdoc.help/portal.
  • “Opening” or “Opened” — Amazon has granted Client approval to list and sell products of the Brand on the Seller Account.
  • “Order Information” — the information described in Section 5.2.

1.3 The Service is sold business-to-business where Client is a business, and business-to-consumer where Client is a natural person acting outside a trade. Sections 18 and 27.2 preserve consumer rights that cannot be waived.

2. The Service and the Price

2.1 The Service is a single attempt for a single Brand on a single Seller Account. It is not a subscription, retainer, package, or entitlement to repeated attempts.

2.2 The Price is USD $350.00, charged as a single, one-time payment. There is no subscription, membership, auto-renewal, trial period, or recurring charge. AMZDOC will not initiate any further charge to Client's payment method without a new, affirmative purchase.

2.3 The Price covers the attempt itself. It does not include, and AMZDOC does not supply: inventory, invoices, supplier relationships, letters of authorization, trademark registration, Brand Registry enrollment, legal representation, or any Amazon fee.

2.4 One payment buys one Brand on one Seller Account. Opening the same Brand on a different Seller Account, or a different Brand on the same Seller Account, requires a separate purchase.

2.5 Taxes. The Price is exclusive of any sales, use, VAT, GST or similar tax. Where such a tax is collectible, it is collected at checkout by Stripe or borne by Client as applicable law requires.

3. Payment

3.1 Payment is processed exclusively by Stripe. Accepted methods: credit card, debit card, Apple Pay, and Google Pay.

3.2 Payment credentials are submitted directly to Stripe under Stripe's own terms and privacy policy. AMZDOC does not receive, process, or store Client's full card number.

3.3 The charge appears on Client's statement as AMZDOC LLC. Client should look for that name before raising a dispute with its bank or card issuer.

3.4 The contract is formed when Stripe confirms payment. Submission of the order form alone creates no contract and no obligation on either party.

4. Account Creation and Portal Access

4.1 No account is required to order. Upon Stripe's confirmation of payment, AMZDOC creates a Portal account for the email address supplied at checkout, so that Client can supply Order Information and follow progress. Client expressly requests and consents to this creation by completing checkout.

4.2 Access is by a single-use sign-in link emailed to that address. No password is set by Client and none is required. The link expires sixty (60) minutes after issue; a fresh link may be requested at any time.

4.3 Where the email address already has an AMZDOC account, the order is attached to that existing account and the sign-in link is sent to that same address. Ordering in another person's name therefore grants the orderer no access to that person's account.

4.4 A Portal account created under this Section is limited to single-brand orders. It does not include packages, subscriptions, partner status, or a referral link.

4.5 Client is responsible for the security of its own email mailbox. AMZDOC is not liable for access obtained by a person who controls that mailbox.

5. Information Required from Client; Thirty-Day Limit

5.1 AMZDOC cannot begin work until Client supplies the Order Information. AMZDOC requests it immediately after payment, in the Portal.

5.2 Order Information means, at minimum: (a) identification of the Seller Account (store name and/or merchant token); (b) the Amazon marketplace concerned, and where more than one is intended, which of them is primary; (c) grant of the user permissions described in Section 6; and (d) information about Client's own business that AMZDOC reasonably requests, such as a business registration or tax identifier. Client is not asked for invoices or supplier documents: obtaining those is part of the Service and is governed by Section 10A.

5.3 Thirty-day limit. If Client has not supplied the Order Information within thirty (30) calendar days of payment, AMZDOC will refund the Price in full to the original payment method and the contract terminates. AMZDOC will send at least one reminder to the email address on the account before doing so.

5.4 Client may instead ask, in writing within those thirty days, that the amount be held as credit against a future order. Credit is converted back into a refund at any time on Client's written request, and AMZDOC refunds any credit unused twelve (12) months after it was created, without waiting to be asked. AMZDOC does not hold Client funds indefinitely.

5.5 Delay by Client in supplying or correcting Order Information extends every period in which AMZDOC must act, day for day.

5.6 AMZDOC may decline an order and refund it in full, before work begins, where the Brand or the Seller Account is one AMZDOC does not serve. Section 2 creates no obligation to accept every order.

6. Access to Seller Central; No Passwords

6.1 AMZDOC never asks for, and Client must never send, the password or two-factor codes of a Seller Account. Any message appearing to request them is not from AMZDOC.

6.2 Access, where required, is granted solely through Amazon's own user permissions feature in Seller Central, to a named AMZDOC user address, limited to the permissions needed for the application.

6.3 Client may withdraw those permissions at any time. Withdrawal before Opening may make performance impossible; Section 8.4 then applies.

6.4 AMZDOC will use the access only to perform the Service, and will not place orders, change bank or deposit details, alter pricing, or access data unrelated to the application.

6.5 Client remains at all times the operator of its Seller Account and remains responsible for compliance with Amazon's agreements and policies.

6.6 AMZDOC notifies Client when the access is no longer needed, and Client is encouraged to withdraw the permissions at that point. AMZDOC does not require continuing access after the Service is complete.

7. Performance; No Fixed Timeline

7.1 AMZDOC begins work promptly after receiving the Order Information and performs with reasonable skill and care.

7.2 No fixed timeline is promised. The duration of an application is set by Amazon and is outside AMZDOC's control. Any period mentioned in marketing material or correspondence is an estimate based on past cases and is not a term of this contract.

7.3 AMZDOC decides the content, method and timing of the application and of any follow-up, acting in Client's interest.

7.4 Where Amazon requests further documents or information, AMZDOC will pass the request on. Section 5.5 applies to any resulting delay.

8. Successful Opening; Refund Policy

8.1 The Service succeeds only on Opening, as defined in Section 1.2: Amazon has granted Client approval to list and sell products of the Brand on the Seller Account.

8.2 Partial approval. Where Client's order covers more than one Amazon marketplace and Amazon approves the Brand on some but not all of them, the Service counts as successful and the Price is earned if the Brand is Opened on the marketplace identified by Client as primary under Section 5.2(b). Where no marketplace was identified as primary, approval on any one of them counts as Opening. Client may order a further attempt for any remaining marketplace at the Price then published.

8.3 Refund on failure. If AMZDOC's attempt does not result in Opening, AMZDOC refunds the full Price. No deduction is made for work performed, time spent, applications submitted, or correspondence conducted. This is unconditional and is not qualified by any other provision of these Terms, save only Section 10.2 (fabricated documents).

8.4 Outer time limit. If the Brand has not been Opened within one hundred and twenty (120) calendar days of AMZDOC submitting the application to Amazon, Client may demand a refund in writing and AMZDOC will refund the full Price, whether or not Amazon has issued a final refusal and whether or not the matter is still under review. Client does not have to wait for AMZDOC to decide that an attempt has failed.

8.5 Timing. A refund is initiated within ten (10) business days of the earliest of: AMZDOC concluding that the attempt has failed; a final Amazon refusal; Client's written request under Section 8.4; or the expiry of the thirty-day period in Section 5.3. Settlement time thereafter is set by Client's bank.

8.6 Where performance becomes impossible through Client. If Client withdraws the permissions in Section 6, or the Seller Account is suspended, closed or becomes inaccessible, AMZDOC may treat the order as terminated and will refund the Price in full. AMZDOC does not retain the Price merely because work had already been done. The single exception is Section 10.2.

8.7 After Opening the Price is earned. Once the Brand is Opened the Service is fully performed and the Price is non-refundable, except where a non-waivable law provides otherwise.

8.8 A later action by Amazon that removes or restricts an approval already granted does not reverse an Opening and does not create a right to a refund, unless it results directly from AMZDOC's own breach of these Terms.

8.9 Refunds are made to the original payment method in the currency of the original charge. Where the payment processor can no longer reach that method — which can happen once a charge is more than about six months old — AMZDOC refunds by another means Client nominates, such as bank transfer, and the obligation to refund is not reduced or discharged by that difficulty. AMZDOC is not responsible for exchange-rate movement or for fees charged by Client's own bank.

9. Billing Disputes and Chargebacks

9.1 Client agrees to contact AMZDOC before initiating a chargeback, so that a refund due under Section 8 can simply be paid. Most disputes are resolved the same day.

9.2 This Section does not limit, and is not intended to limit, Client's rights under the U.S. Fair Credit Billing Act, the U.K. Consumer Credit Act, EU payment-services law, or any equivalent statute. Those rights are preserved in full.

9.3 Where a chargeback is raised on an order that is still open, AMZDOC may suspend further work on it until the dispute is resolved, to avoid performing work that is simultaneously being reversed.

9.4 AMZDOC may refuse future orders from a Client who has raised a chargeback in place of a refund request on a matter AMZDOC had offered to refund.

10. Client Covenants Concerning Amazon

10.1 Client covenants that:

  1. it owns or is lawfully authorized to operate the Seller Account, and has authority to grant the permissions in Section 6;
  2. every document and every item of information it supplies — including any business registration, tax identifier, account credential or statement about its trading history — is genuine, unaltered and accurate;
  3. it will not ask AMZDOC to create, alter, backdate or embellish any document, and understands that AMZDOC will refuse and may terminate without refund if asked;
  4. the goods it intends to sell under the Brand are genuine and lawfully acquired;
  5. it is not subject to any Amazon prohibition that it has concealed from AMZDOC;
  6. its use of the Service complies with the Amazon Services Business Solutions Agreement, the Selling Partner Code of Conduct, and all other Amazon policies applicable to it;
  7. it has itself reviewed its own agreements with Amazon and determined that engaging a third-party service provider on the terms set out in Section 6 is permitted to it. AMZDOC gives no opinion on that question, which depends on Client's own circumstances.

10.2 A breach of 10.1(b) or 10.1(c) is a material breach. AMZDOC may terminate immediately, retain the Price, and is not obliged to continue.

10.3 AMZDOC may, at its discretion, verify any document supplied, and may decline to submit an application it believes may be inaccurate.

10A. Supply Documentation; Purchasing Agency; Supplier Confidentiality

10A.1 AMZDOC obtains the supply documentation. An application of this kind requires documentation of a genuine supply of the Brand's goods. Sourcing it is part of the Service and is among the things Client is paying for. Client is not asked to find a supplier, to obtain invoices, or to pay for goods.

10A.2 Purchasing agency. Client appoints AMZDOC as its agent for the limited purpose of this application, and authorises AMZDOC to purchase goods of the Brand in Client's name from a supplier of AMZDOC's selection. The authority is limited to that purpose, may not be used for anything else, and ends when the order is completed or terminated. AMZDOC may not incur any liability for Client, open any account in Client's name, or commit Client to any continuing obligation.

10A.3 Arrangements Client authorises in advance. Client acknowledges and expressly authorises that, in a purchase under 10A.2: the shipping address, the payment details and the contact email address are AMZDOC's own, because the supplier relationship is AMZDOC's and not Client's; and the purchase is paid for out of AMZDOC's own funds. Client confirms this is understood and agreed, and is not a deviation from what Client ordered.

10A.4 AMZDOC's warranty as to the purchase. AMZDOC warrants that any purchase made under 10A.2 is a genuine purchase of genuine goods from a real, operating supplier, that any invoice or document arising from it is authentic and unaltered, and that AMZDOC will not create, alter, backdate or embellish any document for any purpose. This warranty is given by AMZDOC to Client and replaces, as to supply documentation, the warranty Client gives under Section 10.1(b).

10A.5 The goods. The Price does not include the cost of the goods. Title to and possession of the goods remain with AMZDOC at all times. Client acquires no interest in them, takes no delivery of them, and irrevocably waives any claim to them, to their proceeds, or to any refund or credit from the supplier, arising from being named as buyer on the purchase.

10A.6 Suppliers are AMZDOC's trade secret. The identity of any supplier, its contact details, pricing, terms, and the documents obtained from it, are confidential information and trade secrets of AMZDOC within the meaning of the U.S. Defend Trade Secrets Act and the California Uniform Trade Secrets Act. AMZDOC takes reasonable measures to keep them secret, and they derive independent economic value from not being generally known. Client does not receive copies of supplier documents and is not told which supplier was used. That is a feature of the Service, not a withholding of something Client has bought.

10A.7 Non-circumvention. During the Service and for twenty-four (24) months afterwards, Client will not, directly or through any other person: attempt to identify, locate or contact a supplier used by AMZDOC; solicit or transact with such a supplier in connection with the Brand; or use anything learned through the Service to make a further application, to assist a third party, or for another seller account. Nothing in this clause prevents Client from dealing with a supplier it already had a relationship with, independently of the Service.

10A.8 Remedies. Client agrees that a breach of 10A.6 or 10A.7 would cause AMZDOC harm that damages alone cannot adequately repair, and that AMZDOC may seek injunctive relief in court under Section 24.2, in addition to any other remedy, without the need to post a bond.

10A.9 Client's acknowledgement of the structure. Client understands and accepts that the goods purchased under 10A.2 are not shipped to Client, that Client will not take physical possession of them, and that Client's own commercial judgment about whether this structure suits its circumstances has been made by Client. Section 19.3 applies to any action Amazon may take in respect of Client's account.

10A.10 Requests from Amazon. Where Amazon asks for further information or documents while the application is under review, AMZDOC handles the request as part of the Service at no extra charge. Where Amazon raises a request, verification, complaint or enforcement action after the Brand is Opened, or in relation to Client's account generally, that is a separate matter not covered by the Price. AMZDOC will tell Client what it would charge to handle it, and Client decides whether to order it. AMZDOC is under no obligation to act on such a matter without a separate order.

11. No Guarantee of Amazon Outcomes

11.1 AMZDOC guarantees no Amazon outcome of any kind. Approval decisions are made by Amazon under criteria Amazon sets, applies and changes at its sole discretion and without notice to AMZDOC.

11.2 Approval rates, case counts, timeframes and examples published by AMZDOC describe past work. They are not a prediction and not a warranty of the result of Client's own matter.

11.3 Client's remedy for a failed attempt is the refund in Section 8.2 and nothing else.

12. Non-Affiliation with Amazon; Trademarks

12.1 AMZDOC is an independent third party. It is not affiliated with, endorsed by, sponsored by, certified by, partnered with, or in any way officially connected to Amazon.

12.2 AMZDOC is not an agent of Amazon and cannot bind Amazon, expedite an Amazon review, escalate within Amazon by any privileged route, or influence an Amazon decision other than by the ordinary submission any seller may make.

12.3 Amazon trademarks are used nominatively, solely to describe the marketplace on which the Service is performed.

13. No Legal or Professional Advice

13.1 AMZDOC is not a law firm and does not practise law. Nothing supplied under the Service is legal, tax, accounting, customs or investment advice, and no attorney-client relationship arises.

13.2 Client remains responsible for its own legal and regulatory compliance and should take independent professional advice where its circumstances warrant it.

14. Client's Representations and Warranties

14.1 Client represents and warrants that it is at least eighteen (18) years old and has capacity to contract; that the payment method used is its own or is used with authority; that the email address supplied is one it controls; and that all information it supplies is true.

14.2 Client is not located in, and is not ordering on behalf of a person located in, a jurisdiction subject to comprehensive U.S. sanctions, and is not a person with whom U.S. persons are prohibited from dealing.

15. Prohibited Uses

15.1 Client must not use the Service to obtain approval for a Seller Account it does not lawfully control; to support the sale of counterfeit, stolen, recalled, expired or unlawfully imported goods; to evade an Amazon suspension, block or enforcement action; or to impersonate another person or business.

15.2 AMZDOC may terminate immediately and without refund on reasonable belief of a breach of this Section, and may report conduct it reasonably believes unlawful to the competent authority.

16. Confidentiality

16.1 Each party will keep confidential the non-public information of the other received in connection with the Service, and will use it only to perform or receive the Service.

16.2 AMZDOC may use anonymized, non-identifying facts about engagements for statistics and marketing. It will not publish Client's name, store name, merchant token, brand list or any document supplied, without Client's prior written consent.

16.3 This Section does not apply to information that is public through no breach, was already lawfully held, or must be disclosed by law or court order.

17. Privacy; CCPA/CPRA

17.1 AMZDOC processes the email address, Brand name, Seller Account identifiers and documents supplied, for the sole purpose of performing the Service, meeting its legal and accounting obligations, and corresponding with Client. The legal basis, where the GDPR applies, is performance of a contract and AMZDOC's legitimate interest in defending its rights.

17.2 Payment data is held by Stripe, not by AMZDOC. Email is delivered through AMZDOC's transactional email provider. These processors act under contract and are not permitted to use the data for their own purposes.

17.3 AMZDOC does not sell or share personal information as those terms are defined by the California Consumer Privacy Act as amended by the CPRA, and has not done so in the preceding twelve months.

17.4 Client may request access to, correction of, or deletion of its personal information, and may object to processing, by writing to the address in Section 31. AMZDOC answers within the period the applicable law prescribes. Deletion does not extend to records AMZDOC must keep for tax, accounting or dispute-defence purposes.

17.5 Emails sent under the Service are transactional. AMZDOC sends marketing only with separate consent, and every marketing message carries an unsubscribe link.

17.6 Retention. AMZDOC keeps the order record, the email address and the correspondence for seven (7) years from the date of payment, because U.S. tax and accounting rules and the limitation periods applicable to a contract claim require it to be able to evidence the transaction. Documents supplied for the application — invoices, authorizations and the like — are deleted twelve (12) months after the order closes, unless a dispute is then open, in which case they are kept until it ends. Client may ask for earlier deletion of anything AMZDOC is not obliged to keep.

17.7 International transfer. AMZDOC is established in the United States. Where Client is in the European Economic Area, the United Kingdom or Switzerland, placing an order necessarily transfers personal data to the United States. That transfer is made under the Standard Contractual Clauses adopted by the European Commission, or under another lawful transfer mechanism then available to AMZDOC, and is in any event necessary for the performance of the contract Client has requested. A copy of the clauses relied on is supplied on request to the address in Section 31.

17.8 Third-party data in Client's documents. Documents Client supplies may contain personal data of other people, typically supplier contacts. As to that data Client is the controller and AMZDOC acts as processor: AMZDOC processes it only on Client's documented instructions and for the sole purpose of the application, applies appropriate technical and organisational measures, imposes equivalent duties on its own processors, assists Client with data-subject requests so far as it reasonably can, and deletes or returns the data in accordance with Section 17.6. Client warrants that it is entitled to pass that data to AMZDOC for this purpose.

17.9 The full privacy policy at amzdoc.help/privacy.html forms part of these Terms. Where this Section and that policy differ, this Section prevails for orders placed under these Terms.

18. Right of Withdrawal (EEA/UK); Express Request for Immediate Performance

18.1 Where Client is a consumer resident in the European Economic Area or the United Kingdom, Client ordinarily has fourteen (14) days to withdraw from a distance contract without giving a reason.

18.2 By placing the order and confirming the acknowledgement shown at checkout, Client expressly requests that AMZDOC begin performance immediately and acknowledges that, once the Service has been fully performed, the right of withdrawal is lost.

18.3 If Client withdraws while performance is under way, Client may be charged an amount proportionate to what has been performed up to that point. In practice AMZDOC refunds in full under Section 8.2 whenever the Brand is not Opened, which is more favourable to Client than the statutory minimum.

18.4 To withdraw, it is enough to send an unambiguous statement to the address in Section 31 before the Service is fully performed.

19. Warranty Disclaimer and Limitation of Liability

19.1 Except as expressly stated in these Terms, the Service is provided “as is” and AMZDOC disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

19.2 To the fullest extent permitted by law, AMZDOC's total aggregate liability arising out of or relating to the Service is limited to the Price actually paid by Client for the order concerned.

19.3 AMZDOC is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost sales, lost data, loss of goodwill, business interruption, or the suspension, restriction, closure or loss of a Seller Account, even if advised of the possibility.

19.4 Nothing in this Section excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Where a jurisdiction does not allow the exclusion of certain warranties or damages, the exclusion applies only so far as that jurisdiction permits.

19.5 Each limitation in this Section is severable and applies independently of any other.

20. Indemnification

20.1 Client will indemnify, defend and hold harmless AMZDOC, its members, officers, employees and contractors, from any claim, loss, liability, penalty or expense (including reasonable legal fees) arising out of Client's breach of Section 10, Section 14 or Section 15, or out of any document or information Client supplied that proves inaccurate, altered or fabricated.

20.2 AMZDOC will notify Client promptly of any such claim and may participate in its defence with counsel of its own choosing at its own expense. Client may not settle a claim in a way that imposes an obligation or admission on AMZDOC without AMZDOC's written consent.

21. Governing Law

21.1 These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

21.2 Where Client is a consumer habitually resident elsewhere, this choice does not deprive Client of the protection of mandatory provisions of the law of that residence.

22. Binding Individual Arbitration

22.1 Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding individual arbitration administered by JAMS under its applicable rules.

22.2 Informal resolution first. Before filing, the complaining party will send a written description of the dispute and the relief sought to the other, and the parties will attempt in good faith to resolve it for sixty (60) days. This period tolls any limitation period.

22.3 The seat of arbitration is Sacramento, California. A consumer Client may elect instead to arbitrate in the county of its own residence, or to proceed by telephone, videoconference or documents only.

22.4 The arbitration is conducted by a single arbitrator in the English language.

22.5 The arbitrator decides all issues except that a court decides the validity of the class-action waiver in Section 23.

22.6 The arbitrator may award any relief a court could award to that individual party, and may award costs and fees where a statute or the JAMS rules so provide.

22.7 Where JAMS consumer rules apply, AMZDOC pays the filing, administration and arbitrator fees that those rules require it to pay. AMZDOC will not seek its legal fees from a consumer Client unless the arbitrator finds the claim frivolous.

22.8 The award is final and binding and may be entered in any court of competent jurisdiction.

22.9 Coordinated filings. Where twenty-five (25) or more demands for arbitration raising substantially the same claims are filed against AMZDOC within a sixty-day period by or with the coordination of the same counsel, the parties agree that the demands will be administered in batches of no more than twenty-five (25). Each batch is heard by a single arbitrator, and the parties will apply the outcome of the first batches, so far as the facts allow, to resolve the remainder. Any limitation period is tolled for every demand awaiting its batch. This provision is intended to keep arbitration workable at scale and does not reduce the relief available to any individual claimant.

22.10 Right to opt out. Client may opt out of this arbitration agreement by sending, within ninety (90) days of its first order, a written notice stating its name, the order email and an unambiguous statement that it opts out, to the address in Section 31. Opting out affects nothing else in these Terms and does not affect the Service.

23. Class-Action and Jury-Trial Waiver

23.1 Disputes are brought in an individual capacity only, and not as plaintiff or class member in a class, collective, consolidated or representative proceeding.

23.2 The arbitrator may not consolidate claims or preside over any form of representative proceeding.

23.3 To the extent permitted by law, each party waives trial by jury.

23.4 If the waiver in 23.1 is held unenforceable as to a particular claim or remedy, that claim or remedy is severed and proceeds in court, and the remainder stays in arbitration.

24. Carve-Outs; Public Injunctive Relief

24.1 Either party may bring an individual claim in small-claims court where it qualifies.

24.2 Either party may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.

24.3 Nothing prevents Client from reporting a matter to, or seeking relief from, a government agency or regulator.

24.4 Public injunctive relief. Nothing in Sections 22 or 23 waives, limits or precludes a claim for public injunctive relief brought on behalf of the general public under the California Consumers Legal Remedies Act, the California Unfair Competition Law, the California False Advertising Law, or any equivalent statute. Such a claim may be brought in a court of competent jurisdiction, and the arbitration agreement and the class-action waiver do not apply to it. Where a claim for public injunctive relief is brought together with claims for individual relief, the claim for public injunctive relief proceeds in court and the remaining claims proceed in arbitration under Section 22, which is stayed until the court claim concludes.

24.5 If Section 24.4 is for any reason held unenforceable, that holding affects only Section 24.4; the remainder of Sections 22 and 23 continues in force as to all other claims.

25. Venue for Non-Arbitrable Claims

25.1 For any claim not subject to arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts in Sacramento County, California, subject to Section 21.2.

26. Force Majeure

26.1 Neither party is liable for delay or failure caused by an event beyond its reasonable control, including act of God, war, civil unrest, labour action, epidemic, sanctions, failure of a telecommunications or payment network, or a change in Amazon's systems, policies or availability.

26.2 Where such an event prevents performance for more than sixty (60) days, either party may terminate the order and AMZDOC refunds the Price in full.

27. Severability; Non-Waivable Rights

27.1 If any provision is held invalid or unenforceable, it is modified to the minimum extent necessary to be enforceable, or severed, and the remaining provisions continue in full force.

27.2 Nothing in these Terms waives, limits or excludes any right or remedy that cannot lawfully be waived, limited or excluded under the law applicable to Client.

28. No Waiver; Entire Agreement

28.1 A failure or delay in enforcing a provision is not a waiver of it.

28.2 These Terms, together with the privacy policy, are the entire agreement between the parties concerning the Service, and supersede all prior statements and correspondence. No statement outside these Terms forms part of the contract unless AMZDOC confirms it in writing. Nothing in this Section excludes or limits any liability or remedy arising from a misrepresentation, whether fraudulent, negligent or innocent, nor any right Client has under a statute governing advertising or unfair trade practices.

28.3 Client may not assign the contract without AMZDOC's written consent. AMZDOC may assign it to a successor to its business, on notice.

28.4 Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between the parties.

28.5 There are no third-party beneficiaries of these Terms.

29. Electronic Communications; E-SIGN

29.1 Client consents to transact electronically and to receive communications, notices and records by email or through the Portal. Client may withdraw this consent by writing to the address in Section 31, in which case AMZDOC may be unable to continue the Service.

29.2 Completing checkout and confirming the acknowledgement shown there constitutes an electronic signature under the U.S. E-SIGN Act and equivalent law, and has the same effect as a handwritten signature.

29.3 Client should retain a copy of these Terms and of its order confirmation. AMZDOC supplies a copy on request.

30. Amendments; Version in Force

30.1 AMZDOC may amend these Terms for future orders. The version in force for an order is the version published at the moment that order is paid, and it is not changed afterwards by any later amendment.
